Mainstream Renewable Power is looking for a Commercial Associate focused on financial modelling in the South African Business. The Commercial Associate will manage the modelling process and support Mainstream Commercial team members through the evaluation, structuring, tendering and financial close process to bring opportunities/development projects into construction. The successful candidate will be involved in wind and solar projects. Activities will cover all aspects of financing including tender structuring, negotiation with lenders and equity, completing due diligence, structuring agreements, financial models, stakeholder engagement and handing over to construction teams. The Commercial Associate will be part of all of Mainstream’s bidding efforts into REIPPPP and Bilateral off-takers, bringing projects to financial close. Ongoing support to other Mainstream teams/departments as and when required.

The role will provide first hand exposure to private equity, investment banking and M&A activities and would suit an ambitious candidate keen to establish a strong foundation within financial modelling before progressing to take more responsibility for project financing or M&A work and commercial negotiations.

Core Responsibilities:
Design, build and maintain highly complex financial models for renewable energy projects including:
o Analysis of cash flows
o Ability to audit/sense check a financial model quickly and succinctly to ensure outputs are reasonable in order to make quick, correct commercial decisions
o Ability to challenge those providing inputs to ensure an accurate representation of the risks and rewards is prepared and presented
Accurate management of information flows used to maintain financial models
Take responsibility for structural integrity and functionality of models including accounting, tax and regulatory requirements of various global markets;
Contribute towards commercial negotiations and assumptions included within such models, highlighting potential efficiencies / risk areas on acquisitions, investments, disposals & associated funding activities
Analysing project opportunities, regulatory requirements and Bilateral opportunities (Non-REIPPPP).
Assisting with all commercial aspects in the South African REIPPPP bid submission and financial close processes.
Assisting in identifying bilateral off-takers, participating in respective RFI/RFQ/RFPs.
Preparing and writing relevant bid responses in line with the REIPPPP RFP as updated from time to time.

Other Responsibilities:
Coordinating with Development team to ensure that all required consents to invest, build and operate power plants are in place for bidding and financial close.
Coordinating with Procurement, Project Execution and Asset Management team to ensure that procurement, engineering, energy analysis, construction and operations inputs are accurately reflected in bid responses.
Ensuring that all criteria of the REIPPPP RFP (and Bilaterals) are satisfied with regard to bid responses.
Assisting the Commercial Manager South Africa with the preparation of budgets and coordinate with Finance team on vendor relationships.
Updating and maintaining the wind and solar financial models in conjunction with the Commercial Manager South Africa.
Participating in the negotiation of shareholder, corporate and project finance agreements.
Fostering relationships with project stakeholders and transaction advisors as part of the financial close process.
Assisting with the final due diligence of projects as well as loan agreement conditions precedent process required for financial close.
In conjunction with internal teams evaluate and review papers for Risk & Investment Committee and/or Board approval including deal structuring & valuation.

What we require:
Relevant Financial qualification experience of financial modelling related to in Corporate Finance/Project Finance/Investment Banking/Financial Services and/or Advisory/Asset Management/Property Development/Management Consulting with at least 3-5 years’
Strong financial modelling and analysis experience.
Contribute towards commercial negotiations and assumptions included within such models, highlighting potential efficiencies / risk areas on acquisitions, investments, disposals & associated funding activities
Clear financial analysis and communication of result. Bachelor’s degree required preferably in finance/accounting/economics/legal. Master Degree in Business Administration preferred but not required.
Knowledge and experience in the South African energy sector and renewable energy sector a distinct advantage.
Strong Microsoft Excel Skills and an ability to use the Microsoft Office suite of applications.
Ability to analyse and present qualitative & quantitative information for decision making.
Strong communication, negotiation, relationship management and presentation skills.
Willingness to work as part of multi-functional teams.
Willingness to travel both within South Africa and internationally as required.
Excellent written and spoken English language skills essential.

You will be required to travel throughout South Africa on a regular basis with infrequent international travel.
